The OKX Affiliate Program ("Program") is governed by these Terms and Conditions ("Terms") and operated by OKX ("we," "our," or "Platform"). By participating, you ("Affiliate" or "You") agree to these Terms, which supplement the OKX Terms of Service.

1.2 Binding Agreement
These Terms are legally binding. By joining, you confirm you’ve read, understood, and accepted all provisions, including liability limitations and OKX’s right to modify Terms unilaterally.

- Confidential Information: Non-public data about OKX or its operations.

3. Affiliate Obligations
3.1 Account Accuracy
Maintain truthful, up-to-date information in your Program dashboard.
3.2 Compliance
- Adhere to all Applicable Laws and Platform policies.
- Avoid promoting in Prohibited Jurisdictions.
- Report material changes affecting OKX promptly.
3.3 Prohibited Actions
- Misleading claims about OKX services.
- Using unauthorized OKX branding (e.g., fake accounts mimicking OKX).
4. Commissions & Payments
4.1 Payment Terms
Commissions are paid per Program Rules, excluding taxes. Affiliates bear all tax liabilities.
4.2 Payment Disputes
OKX reserves the right to withhold payments for suspected fraud or Terms violations.
5. Intellectual Property
5.1 License Grant
Affiliates may use OKX trademarks only for approved promotional content.
5.2 Affiliate Content
You grant OKX a perpetual license to reuse your promotional materials ("Affiliate Image") for marketing purposes.
6. Confidentiality

Affiliates must protect OKX’s Confidential Information and avoid unauthorized sharing.
6.2 Exceptions
Information already public or obtained lawfully from third parties is exempt.
7. Liability & Indemnification

OKX isn’t liable for indirect damages (e.g., lost profits) arising from Program participation.
7.2 Indemnity
Affiliates indemnify OKX against claims from Terms breaches or third-party disputes.
8. Termination
8.1 By OKX
OKX may terminate immediately for Terms violations or at its discretion.
8.2 By Affiliate
Affiliates may exit the Program by notifying OKX.
8.3 Post-Termination
Surviving clauses include Payments, Confidentiality, and Indemnification.
9. Jurisdiction & Disputes
9.1 Governing Law
Terms are governed by English law, excluding conflicts of laws.
9.2 Arbitration
Disputes resolved via HKIAC arbitration in Hong Kong. Proceedings conducted in English.
